1. Acceptance of terms
By accessing the Yaval website or submitting an RFQ, supplier application, or contact request, you agree to these Terms of Service and to our Privacy Policy, Confidentiality terms, and Cookie Policy, which are incorporated by reference. If you do not agree, please do not use the service.
2. What Yaval is
Yaval operates a neutral B2B commodity trade desk. We screen and verify suppliers, run private supplier competitions for buyer RFQs, and act as the commercial contracting party on executed deals.
Submitting an RFQ or application does not by itself create any binding purchase, sale, or supply obligation, and does not guarantee an offer, a match, or approval. Binding commercial terms arise only under a separate written agreement signed by the relevant parties.
3. Eligibility
The service is intended for businesses and their authorised representatives, and is not directed to consumers or to anyone under 18. By submitting information, you confirm you are at least 18 and are authorised to act on behalf of the company you represent.
4. Accurate information
You agree to provide accurate, current, and complete information in your submissions. Yaval relies on this information for verification and deal execution. Misrepresentation, fraud, or sanctions/embargo violations may result in rejection, removal from the network, and where appropriate reporting to authorities.
5. Acceptable use
You agree not to misuse the forms or service, including submitting fraudulent, unlawful, infringing, or spam requests; uploading malware; probing, scanning, or testing the security of the platform; attempting to gain unauthorised access to any account, system, or data; or interfering with the normal operation of the service.
6. Automated access and data
You may not scrape, crawl, harvest, cache, or systematically extract content or data from the website, nor use bots, headless browsers, or other automated means to access it, without our prior written consent. You may not use the service to build or train a competing product or dataset.
7. Documents you upload
You confirm you have the right to share any documents you upload, and that they do not infringe third-party rights or violate any law or confidentiality obligation. You grant Yaval a non-exclusive licence to store and use them solely for verification, screening, and deal execution.
8. Intellectual property
The website, its design, text, graphics, logos, and underlying software are owned by Yaval or its licensors and are protected by intellectual-property laws. Except for using the site for its intended purpose, no licence or right is granted to you. "Yaval" and related marks may not be used without permission.
9. No professional advice
Content on the website is provided for general business information only and is not legal, financial, tax, customs, or trade-compliance advice. You are responsible for your own due diligence and for obtaining independent professional advice before entering any transaction.
10. Confidentiality
Yaval maintains strict separation between buyers and suppliers. Buyer identities are not disclosed to suppliers, and supplier identities and raw offers are not disclosed to buyers, except as needed to execute an agreed deal. See our Confidentiality page for details.
11. Third-party services and links
The service relies on third-party providers (for example, infrastructure, database/storage, and email delivery) and may link to third-party sites. We are not responsible for the content, policies, or availability of third parties, and your use of them is at your own risk.
12. No warranties
The website and all information are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Yaval does not warrant that the service will be uninterrupted, secure, or error-free, that any RFQ will result in an offer, or that any application will be approved.
13. Limitation of liability
To the maximum extent permitted by law, Yaval and its officers, employees, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising from or related to your use of the website or any submission, whether based in contract, tort, or otherwise, even if advised of the possibility. To the extent any liability cannot be excluded, Yaval's total aggregate liability is limited to the greater of the amounts you paid to Yaval for the website in the three months before the claim, or USD 100.
14. Indemnification
You agree to indemnify and hold harmless Yaval and its personnel from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your submissions, your breach of these terms, your violation of any law, or your infringement of any third-party right.
15. Suspension and termination
We may suspend, restrict, or terminate access to the website or to any submission at any time, with or without notice, including where we reasonably suspect misuse, fraud, security risk, or breach of these terms. Sections that by their nature should survive termination will survive.
16. Governing law and jurisdiction
These terms are governed by the laws of the State of Israel, without regard to conflict-of-laws rules. The competent courts of Tel Aviv-Jaffa, Israel will have exclusive jurisdiction over any dispute, and you consent to that jurisdiction and venue, except where mandatory local law provides otherwise.
17. General
If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver. You may not assign these terms without our consent; we may assign them in connection with a reorganisation or transfer of the business. These terms, together with the policies referenced above, are the entire agreement between you and Yaval regarding the website.
18. Changes to these terms
We may update these terms from time to time. Material changes will be reflected by updating the date at the top of this page, and your continued use after changes constitutes acceptance.
